Terms of Service

1. DEFINITIONS

• "Account" means a registered account created to access the Service.
• "Customer" means the business, organization, or individual subscribing to the Service.
• "Content" means text, reviews, transcriptions, feedback, images, audio, and other materials submitted through the Service.
• "Review Interaction" means a customer review session initiated through a SpeakReviews QR code, link, or other review collection method.
• "Review Platform" means Google, Yelp, Facebook, DealerRater, Cars.com, or any third-party review platform.
• "Subscription Plan" means any paid or trial plan offered by SpeakReviews.

2. ELIGIBILITY

You represent and warrant that:

• You are at least eighteen (18) years old.
• You have authority to bind the business or organization you represent.
• Your use of the Service complies with applicable laws.
• You will not use the Service for unlawful purposes.

The Service is intended primarily for business users.

3. ACCOUNT REGISTRATION

You are responsible for:

• Maintaining accurate account information.
• Protecting account credentials.
• Restricting unauthorized access to your account.
• Activities occurring under your account.

You must immediately notify us of any unauthorized use of your account.

4. FREE TRIAL

SpeakReviews may offer a free trial. Unless otherwise stated, the free trial ends upon the earlier of:

• (a) thirty (30) calendar days after activation; or
• (b) fifty (50) review interactions.

SpeakReviews reserves the right to modify, suspend, limit, or terminate any trial at any time. No refund or credit is provided for unused trial usage.

5. SUBSCRIPTION PLANS

Access to certain features requires a paid subscription. Subscription features, pricing, usage limits, and available plans are described on the SpeakReviews website.

Current plans may include Starter, Growth, Pro, and additional review interaction packages. Features may change over time. We reserve the right to add, remove, or modify features.

6. BILLING AND PAYMENT

All fees are billed through our payment processor, Stripe. You authorize SpeakReviews and its payment processors to charge all applicable fees.

You agree to provide valid payment information and maintain current billing details. Failure to maintain valid payment information may result in suspension or termination of service.

7. AUTOMATIC RENEWAL

Subscriptions automatically renew unless canceled before the next billing date. By subscribing, you authorize recurring billing. Renewal charges will occur using your selected payment method.

8. TAXES

Fees do not include taxes unless explicitly stated. You are responsible for all applicable taxes, duties, levies, or governmental assessments associated with your use of the Service. Where required, SpeakReviews may collect sales tax, VAT, GST, or similar taxes.

9. ADD-ON REVIEW PACKS

Certain plans may permit the purchase of additional review interactions. Unless otherwise stated:

• Add-on interactions are non-refundable.
• Add-ons expire according to the terms displayed at purchase.
• Unused interactions may expire.
• Add-ons have no cash value.

10. CANCELLATION

You may cancel your subscription at any time. Cancellation prevents future renewals but does not entitle you to a refund for current or previous billing periods. Your subscription remains active until the end of the current paid term.

11. NO REFUND POLICY

ALL FEES ARE NON-REFUNDABLE.

Except where required by law:

• No refunds
• No partial refunds
• No prorated refunds
• No credits for unused time
• No credits for unused review interactions

The Service includes a free trial intended to allow evaluation before purchase.

12. CUSTOMER CONTENT

You retain ownership of content you submit to the Service. By submitting content, you grant SpeakReviews a worldwide, non-exclusive, royalty-free license to process, store, display, transmit, and use such content solely for operating and improving the Service.

You are solely responsible for:

• Content submitted through your account
• Compliance with laws
• Accuracy of submitted information
• Obtaining required permissions

13. VOICE PROCESSING AND REVIEW GENERATION

SpeakReviews enables customers to submit spoken feedback in their own words for review drafting. You acknowledge and agree that:

• Voice recordings may be processed to generate a review draft from the customer's own words.
• Review drafts generated from the customer's own words may be edited by the customer before posting.
• Customers are responsible for reviewing and approving all content before publication.
• SpeakReviews does not guarantee accuracy, completeness, or suitability of generated content.

SpeakReviews does not provide legal, medical, professional, or regulatory advice.

14. REVIEW PLATFORM DISCLAIMER

SpeakReviews does not own, operate, or control any Review Platform. We make no representations regarding:

• Review publication
• Review approval
• Review visibility
• Review ranking
• Review retention
• Review removal
• Search engine ranking
• Business outcomes

Review Platforms may change policies at any time. A Review Platform may reject, remove, suppress, filter, or otherwise limit reviews for reasons beyond our control. SpeakReviews is not responsible for decisions made by Review Platforms.

15. ACCEPTABLE USE

You agree not to:

• Violate any applicable law or regulation.
• Submit fraudulent, misleading, defamatory, harassing, abusive, or unlawful content.
• Impersonate another person or entity.
• Submit fake reviews.
• Generate review drafts for experiences that did not occur.
• Use SpeakReviews to manipulate review platforms.
• Circumvent usage limits.
• Reverse engineer the Service.
• Interfere with platform security.
• Access systems without authorization.
• Introduce malware, viruses, or malicious code.

SpeakReviews reserves the right to suspend or terminate accounts that violate this section.

16. REVIEW COMPLIANCE

Customers are solely responsible for ensuring compliance with review platform policies. SpeakReviews does not guarantee compliance with platform policies, review publication, review visibility, or review retention.

Customers agree not to:

• Incentivize reviews in violation of platform rules.
• Purchase fake reviews.
• Submit fabricated reviews.
• Misrepresent customer experiences.

SpeakReviews may suspend accounts that engage in prohibited review practices.

17. HEALTHCARE AND PHI RESTRICTIONS

SpeakReviews is not intended for the collection, storage, transmission, or processing of Protected Health Information ("PHI") as defined under HIPAA.

Customers shall not:

• Upload PHI.
• Request patients to disclose diagnoses.
• Request treatment information.
• Request medical record information.
• Submit insurance information.
• Submit sensitive health information.

Users are instructed not to include personal medical information in recordings or reviews. Customers remain solely responsible for compliance with HIPAA and other healthcare privacy obligations. SpeakReviews is not a healthcare provider, business associate, covered entity, or medical records platform.

18. INTELLECTUAL PROPERTY

The Service, including software, branding, logos, designs, text, user interface elements, documentation, and features, are owned by Pizzalytics, LLC or its licensors. No ownership rights are transferred through use of the Service.

Customers may not copy, modify, distribute, reverse engineer, resell, or create derivative works without written permission.

19. FEEDBACK

If you provide suggestions, ideas, recommendations, feedback, or feature requests, you grant SpeakReviews a perpetual, irrevocable, worldwide, royalty-free right to use such feedback without restriction or compensation.

20. THIRD-PARTY SERVICES

The Service may interact with third-party providers including Stripe, OpenAI, review platforms, hosting providers, and analytics providers. SpeakReviews is not responsible for third-party service interruptions, errors, security incidents, or policy changes. Your use of third-party services may be subject to separate terms.

21. SERVICE AVAILABILITY

SpeakReviews does not guarantee uninterrupted availability. The Service may experience maintenance, updates, downtime, interruptions, delays, or errors. SpeakReviews may modify, suspend, or discontinue portions of the Service at any time.

22. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKREVIEWS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

SPEAKREVIEWS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, REVIEW DRAFTS GENERATED FROM THE CUSTOMER'S OWN WORDS WILL BE ACCURATE, REVIEWS WILL BE PUBLISHED OR REMAIN VISIBLE, OR BUSINESS RESULTS WILL IMPROVE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIZZALYTICS, LLC, SPEAKREVIEWS, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, DATA LOSS, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE.

SPEAKREVIEWS SHALL NOT BE LIABLE FOR REVIEW PLATFORM DECISIONS, REMOVED OR REJECTED REVIEWS, CHANGES IN SEARCH RANKINGS, CUSTOMER RELATIONSHIP ISSUES, OR REPUTATIONAL IMPACT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKREVIEWS' TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL FEES PAID BY CUSTOMER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

24. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Pizzalytics, LLC, SpeakReviews, and its officers, members, managers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, violation of these Terms, violation of applicable laws, or violation of review platform policies.

25. TERMINATION

SpeakReviews may suspend or terminate accounts at any time if Terms are violated, fees remain unpaid, fraud is suspected, security concerns arise, or platform abuse occurs.

Upon termination, access may be revoked, features may be disabled, and data may be deleted in accordance with retention policies.

26. BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY.

ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration shall occur in Texas.

The arbitrator shall have exclusive authority to resolve disputes relating to these Terms, the Service, enforceability, and scope of arbitration. Judgment on an arbitration award may be entered in any court of competent jurisdiction.

27. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY. YOU WAIVE ANY RIGHT TO CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, OR CONSOLIDATED CLAIMS. No arbitration may be combined with another person's claim.

28. GOVERNING LAW

These Terms shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles. For any matter not subject to arbitration, exclusive jurisdiction shall lie in the state or federal courts located in Texas.

29. CHANGES TO THESE TERMS

SpeakReviews may update these Terms at any time. Updated versions will be posted on the website. Continued use of the Service after updates constitutes acceptance of the revised Terms.
